Terms of Service

By accessing or using the SooperSeller platform at sooperseller.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legally binding agreement between you ("Merchant" or "User") and SooperSeller ("Company", "we", "us"). By creating an account or using any part of our services, you confirm you have read, understood, and agree to these Terms.

SooperSeller provides a multi-tenant ecommerce management platform offering the following services:

We reserve the right to modify, suspend, or discontinue any service or feature at any time with reasonable notice to merchants.

To use SooperSeller, you must create a merchant account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activity that occurs under your account
• Not share your login credentials with unauthorized parties

Each tenant account is isolated — your data is not accessible to other merchants on the platform. You are responsible for managing user roles and permissions within your account.

You agree to use SooperSeller only for lawful business purposes. You must not:

• Use the platform for any illegal activity or in violation of applicable laws
• Upload false, fraudulent, or misleading order or inventory data
• Attempt to gain unauthorized access to other tenants' data
• Reverse engineer, decompile, or attempt to extract source code
• Use automated scripts to scrape or excessively query the platform
• Violate the terms of any integrated third-party service (Shopify, courier APIs)
• Transmit malware, viruses, or any harmful code

SooperSeller integrates with Shopify via the Shopify Admin API. When you connect your Shopify store:

• You authorize SooperSeller to access your store's orders, products, customers, and inventory data
• You confirm you have the right to share your customers' data with us for order processing
• You remain responsible for your store's compliance with Shopify's Terms of Service
• We will only access data necessary for the services you use

SooperSeller's use of data obtained through Shopify APIs complies with the Shopify API License and Terms of Use. We do not use Shopify customer data for purposes unrelated to providing services to you.

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

As a merchant, you are the data controller for your customers' personal data. SooperSeller acts as a data processor on your behalf. You warrant that:

• You have a lawful basis for sharing customer data with us
• You have an appropriate privacy policy in place for your store
• You will inform us promptly of any data subject requests related to your customers

Subscription fees, payment terms, and billing cycles are as described on your subscription plan at the time of sign-up. By subscribing, you agree to:

• Pay all fees associated with your chosen plan on time
• Provide accurate billing information
• Notify us of any billing disputes within 30 days of the charge

We reserve the right to suspend access for non-payment. All fees are non-refundable except where required by applicable law.

All intellectual property in the SooperSeller platform — including software, design, trademarks, and content — is owned by SooperSeller. We grant you a limited, non-exclusive, non-transferable license to use the platform for your internal business purposes during your subscription period. This does not include the right to:

• Copy, modify, or create derivative works of the platform
• Sublicense or resell access to the platform
• Remove any proprietary notices or branding

Your data (orders, inventory, financial records) remains your property. We claim no ownership over merchant data stored on the platform.

SooperSeller is provided "as is" without warranties of any kind. To the maximum extent permitted by law:

• We do not guarantee uninterrupted, error-free service
• We are not liable for data loss caused by courier API failures or sync errors
• We are not liable for financial losses resulting from inaccurate synced data
• Our total liability shall not exceed the fees paid by you in the 3 months preceding the claim

Either party may terminate the account at any time:

• By you: Cancel your subscription at any time from account settings
• By us: We may suspend or terminate accounts for violation of these Terms, non-payment, or fraudulent activity

Upon termination, your access will cease. You may request a data export within 30 days. After 30 days, your data may be permanently deleted.

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the platform at least 14 days before the changes take effect.

Continued use of the platform after changes take effect constitutes acceptance of the updated Terms.
